An Assignment Deed is a written legal instrument by which an assignor transfers their right, title, or interest in a property, debt, contract, or intellectual property to an assignee. In India, assignments are recognised across statutes — from the Transfer of Property Act, 1882 to the Copyright Act, 1957, Patents Act, 1970, and Trade Marks Act, 1999. What is Assignment Deed?
An Assignment Deed is a written instrument by which the assignor transfers their existing legal rights, interests, or obligations in a movable or immovable property, debt, contract, or intellectual property to another person - the assignee - either absolutely or partially, with or without consideration.
In India, the law on assignment varies by subject matter. For actionable claims (debts and other beneficial interests), assignment is governed by Section 130 of the Transfer of Property Act, 1882, which requires a written instrument signed by the transferor. For immovable property, the assignment of lease, mortgage, or other rights is governed by the Transfer of Property Act, 1882 and registered under Section 17 of the Registration Act, 1908.
For intellectual property, separate statutes apply: Section 19 of the Copyright Act, 1957 requires copyright assignment to be in writing and signed; Section 68 of the Patents Act, 1970 requires patent assignment to be in writing and registered with the Controller of Patents; and Sections 37 to 45 of the Trade Marks Act, 1999 govern trademark assignments and registered user agreements.
For insurance policies, Section 38 of the Insurance Act, 1938 prescribes the procedure for assignment by endorsement or deed with notice to the insurer. For shares, transfer is governed by Section 56 of the Companies Act, 2013. Assignment Deeds are admissible as documentary evidence under the Bharatiya Sakshya Adhiniyam, 2023.

Lease and tenancy transfers - assigning leasehold rights to a new lessee under the Transfer of Property Act, 1882, subject to lessor consent.
Insurance policy transfers - assigning life insurance policies by endorsement or deed under Section 38 of the Insurance Act, 1938, for nomination, security, or gift.
Corporate restructuring - assigning a partnership firm's business and goodwill to a private limited company, or shares between persons under Section 56 of the Companies Act, 2013.

Operative Clauses - Assignment & Consideration
The core clause must clearly transfer the right, title, and interest to the assignee. State the consideration (sale, gift, or for love and affection), the territory (for IP), and whether the assignment is absolute, partial, or by way of security.

Warranties and Notices
Add representations by the assignor (clear title, no encumbrances, no prior assignment). For debts and insurance policies, the assignor or assignee must give written notice to the debtor or insurer under Section 131 TPA and Section 38 Insurance Act.
