What is Business Forms & Agreements?

Business Forms are standardised templates used in day-to-day commercial operations - quotations, invoices, purchase orders, board resolutions, attendance sheets, and cash flow statements. Business Agreements are binding contracts between commercial parties governing a specific transaction - vendor supply, distribution, franchise, lease, NDA, partnership, or technology licensing.

Both are anchored in the Indian Contract Act, 1872. Under Section 10, all agreements are enforceable contracts when made by competent parties, with free consent, lawful consideration, and lawful object. Section 23 prescribes that the consideration and object must not defeat the law, defraud another, or be opposed to public policy.

Specific business documents draw additional governance from sector-specific statutes. Board Resolutions are governed by Sections 117, 173, 175, and 179 of the Companies Act, 2013, with Form MGT-14 filings required within 30 days for resolutions under Section 117. Sale of goods transactions are governed by the Sale of Goods Act, 1930. Partnership deeds are governed by the Indian Partnership Act, 1932 and registered with the Registrar of Firms. Software, IT, and licensing agreements rely on the Information Technology Act, 2000 and the Copyright Act, 1957.

Stamp duty is governed by the Indian Stamp Act, 1899 read with the applicable State Stamp Act. Lease and rental agreements for immovable property require registration under Section 17 of the Registration Act, 1908 if the term exceeds 11 months. All documents are admissible as evidence under the Bharatiya Sakshya Adhiniyam, 2023.
