What is Appointment?
An Appointment Letter is a formal written communication issued by an employer to a candidate confirming their selection for a specific role and setting out the terms and conditions of employment. In India, it serves as the foundational document of the employer-employee relationship and is legally enforceable as a contract under Section 10 of the Indian Contract Act, 1872, provided it satisfies the essentials of a valid contract — offer, acceptance, lawful consideration, capacity, and free consent.
The Appointment Letter records key terms such as designation, reporting structure, salary, probation period, working hours, leave entitlement, notice period, and grounds for termination. For industrial establishments employing 100 or more workers (50 in some states), terms must conform to the Industrial Employment (Standing Orders) Act, 1946 and certified standing orders where applicable.
For corporate appointments, the Companies Act, 2013 governs Managing Directors, Whole-time Directors, and Key Managerial Personnel under Sections 196, 197, and 203. Director appointments generally require board or shareholder approval and filing with the Registrar of Companies in Form DIR-12 within 30 days.
