What is Employment Agreements?

An Employment Agreement is a legally binding contract between an employer and an employee that defines the terms and conditions of the employment relationship — designation, salary, working hours, leave, probation, confidentiality, and grounds for termination.

In India, an Employment Agreement is enforceable as a contract under Section 10 of the Indian Contract Act, 1872, provided it is made by competent parties, with free consent, lawful consideration, and a lawful object. It governs the rights and duties of both employer and employee throughout the relationship.

The agreement operates alongside India's labour laws, now consolidated into four labour codes: the Code on Wages, 2019 (wages, bonus, equal remuneration), the Industrial Relations Code, 2020 (conditions of service, retrenchment, standing orders), the Occupational Safety, Health and Working Conditions Code, 2020 (working hours, safety, leave), and the Code on Social Security, 2020 (PF, ESI, gratuity). For industrial establishments, the Industrial Employment (Standing Orders) Act, 1946 also governs service conditions.

Employment Agreements come in several forms — permanent, fixed-term, contractual, casual, and consultant/independent contractor arrangements (where no employer-employee relationship exists). A well-drafted agreement also covers confidentiality, intellectual property, non-compete (within the limits of Section 27 of the Indian Contract Act, 1872), and dispute resolution.
